Terms of Service
These terms govern your use of Wisp Trader, operated by EarnAck LLC ("we", "us"). By using Wisp Trader you agree to them. If you do not agree, please do not use the service.
1. What Wisp Trader is
Wisp Trader is a software tool you configure and operate. You set the parameters that govern how your portfolio is run and the limits it must respect; Wisp Trader applies them to market data, proposes the actions they call for together with the reasoning behind them, and records what was decided and why. Wisp Trader does not exercise discretion over your account. No order is transmitted to your broker unless you approve it.
EarnAck LLC is not registered as an investment adviser with the Securities and Exchange Commission or with any state securities regulator, and is not registered as a broker-dealer.
2. What Wisp Trader is not
This is the most important section on this page, so it is written plainly.
- Wisp Trader does not manage your account on a discretionary basis. It proposes; you decide. Every order requires your approval before it is transmitted, and you may decline any proposal for any reason or none.
- Wisp Trader does not provide investment, financial, tax or legal advice tailored to your personal circumstances. It applies parameters you selected to market data, and the output is information for you to act on or disregard — not a statement that any investment is suitable for you. Wisp Trader does not know your income, your obligations, your tax position, your other holdings or your goals, and does not assess suitability.
- Wisp Trader is not a broker and never takes custody. We do not hold your money or your securities at any point. Your positions remain in your own account, at the trading platform you chose, in your name. The engine's analysis produces an instruction and your broker executes it in your account — nothing passes through us, and nothing is ours to hold.
- Wisp Trader does not guarantee results. No outcome, return or level of performance is promised. Investing involves risk, including the possible loss of the money you invest, and past results do not indicate future ones.
3. The parameters you set
Wisp Trader presents each parameter together with the value tested in the research described on our website, and enforces a bounded range for every one of them. Within those bounds, what you set is what the engine applies.
- Only the tested values carry the research. Any departure from them is a configuration of your own choosing, and no result we publish describes its outcome.
- Changing a parameter changes your risk. Widening a limit increases the loss your portfolio can sustain; disabling a protection removes it. Wisp Trader will apply what you set.
- Bounds are limits, not recommendations. That a value is accepted means only that it is within range — not that it is sensible, suitable for you, or tested.
- Changes apply at the next scheduled review of your portfolio, not to a position already being held to a plan.
- Each change is recorded with its previous and new value and the time you made it.
4. Your responsibilities
- You must be at least 18 and legally able to enter this agreement.
- You are responsible for the parameters and limits you choose, for reviewing each proposal, and for the consequences of every order you approve.
- You are responsible for deciding whether this tool suits your circumstances. We do not make that assessment for you.
- You are responsible for your own tax position and for any reporting it requires.
- You must keep your device and your login secure.
- You must comply with the terms of your own broker.
5. Connecting a brokerage account
You authorise the connection, and you can withdraw it at any time from within the app or with your broker. You confirm that the account you connect is yours and that you are permitted to authorise it. Your broker's own rules continue to apply to everything that happens in it.
6. Availability
We work to keep Wisp Trader running, but we do not promise it will be uninterrupted or error free. Markets, brokers, connection providers and networks can all be unavailable or wrong, sometimes at the worst moment. The service may be suspended for maintenance, or discontinued, and we will give reasonable notice where we can.
7. Limitation of liability
To the fullest extent permitted by law, EarnAck LLC is not liable for investment losses, lost profits, or any indirect, incidental, special or consequential damages arising from your use of Wisp Trader. This includes losses caused by interruptions, delays, inaccurate data, or instructions that were not carried out as expected.
Our total liability for any claim relating to the service is limited to the greater of the amount you paid us for it in the twelve months before the claim, or one hundred US dollars.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
8. Suspension and termination
You can stop using Wisp Trader and delete your account at any time. We may suspend or end access where it is necessary to comply with the law, to protect the service or other users, or where these terms are breached. Disconnecting Wisp Trader does not close your brokerage account or alter positions already held in it — those remain yours and remain your responsibility.
9. Changes to these terms
We may update these terms. If a change is material we will tell you in the app before it takes effect. Continuing to use Wisp Trader after that means you accept the updated terms.
10. No legal or regulatory opinion
The descriptions in these terms and on our website explain how the service is built and operated. They are not a legal opinion about how the service may be characterised under the securities laws of any jurisdiction, and they are not a substitute for professional advice about your own situation. Regulation of automated investment tools differs by state and by country and continues to develop. You are responsible for your own compliance with the laws that apply to you.
11. Governing law
These terms are governed by the laws of the State of Colorado, United States, without regard to its conflict of law rules.
